On February 6, 2026, the Board of Directors of HVA Investment Joint Stock Company held a meeting and unanimously approved the policy of terminating cooperation and divesting from several business cooperation contracts in the digital asset sector. This decision was made based on a comprehensive review and assessment of the existing investment portfolio, aiming to prepare the foundation and resources for development goals in the new phase.<\/p>\n\n\n\n

The restructuring policy aims to optimize resources and investment efficiency.<\/strong><\/h3>\n\n\n\n

In the context of the continued volatility in the technology and digital asset markets, the HVA Board of Directors has determined that restructuring the investment portfolio is a necessary step to improve capital allocation efficiency, strengthen risk management, and ensure resources for investment portfolios that are more aligned with the Company's long-term development strategy.<\/p>\n\n\n\n

Accordingly, the Board of Directors has unanimously agreed to adjust and terminate some current business cooperation projects, focusing on capital recovery to restructure the portfolio towards greater efficiency, flexibility, and sustainability.<\/p>\n\n\n\n

Through terminating partnerships and divesting from digital asset projects.<\/strong><\/h3>\n\n\n\n

Specifically, the HVA Board of Directors has approved the termination of cooperation and divestment of all contributed capital under the following business cooperation agreements:<\/p>\n\n\n\n

Regarding the business cooperation agreement with TON Blockchain Technology Joint Stock Company, related to the TON blockchain mining investment project, HVA has contributed a total of VND 10 billion to the project, with divestment expected in the first and second quarters of 2026.<\/p>\n\n\n\n

Regarding the business cooperation agreement with CAKE Blockchain Technology Joint Stock Company, related to the CAKE blockchain mining investment project, HVA has contributed a total of VND 10 billion and plans to divest in the first and second quarters of 2026.<\/p>\n\n\n\n

Regarding the business cooperation agreement with BNB Blockchain Technology Joint Stock Company for the BNB blockchain mining investment project, the total contributed capital is 10 billion VND, and the divestment is expected to take place in the first and second quarters of 2026.<\/p>\n\n\n\n

Regarding the business cooperation agreement with ETH Blockchain Technology Joint Stock Company, HVA has contributed a total of VND 15 billion to the project, with divestment expected in the first and second quarters of 2026.<\/p>\n\n\n\n

The termination of cooperation and divestment will be carried out on the principle of preserving the contributed capital and optimizing the Company's benefits at the time of adjustment or termination. During implementation, depending on the actual situation and market conditions, HVA may consider divesting part or all of its capital in specific stages. The adjustments will be agreed upon by the relevant parties and recorded in minutes or contract addendums as stipulated.<\/p>\n\n\n\n

Authorization for implementation and ensuring legal compliance.<\/strong><\/h3>\n\n\n\n

The Board of Directors assigns and authorizes the General Director of the Company to organize negotiations with relevant partners, decide on the plan, terms, and timing of termination of cooperation, and sign necessary appendices and minutes, as well as fully carry out all legal procedures in accordance with the law.<\/p>\n\n\n\n

The entire process is required to ensure the legitimate interests of the Company and its shareholders, and to comply with applicable regulations.<\/p>\n\n\n\n
